(BM&FBovespa: LLIS3) ( the Company ), hereby informs its stockholders and the market in accordance with CVM Instruction 358/02 and other legislation that on July 18 th, 2011 it completed acquisition of 100% of the shares in Foose Cool Jeans Ltda. ( FCJ ). About FCJ FCJ was founded in 2006 and owns the Brazilian premium jeans brand John, John Denim. It produces a line of unique jeanswear, with exclusive design, for a unisex public with high purchasing power, and has developed a unique washing process technology, on a par with the world s leading premium jeans brands. For more information on John, John products please see or the attached presentation. FCJ currently distributes its products only through multi-brand stores, throughout Brazil. The Company plans to expand distribution of these products by opening company stores operating exclusively under the John, John brand name. It plans to open at least 10 John, John stores in 2012, with average size of 300m² (3,330 sqft). Assessing the importance of the brand and the quality and profile of FCJ s products, the Company has made an initial study for store locations and believes there is potential for more than 100 John, John brand stores in Brazil. The timetable and planning for opening of these stores will depend on market studies and internal discussions, of which the market will be informed. About the acquisition The value of the acquisition was negotiated with the vendors on the basis of a multiple of approximately 8.5 times FCJ s potential EBITDA for This total amount is R$ 29.1 million, of which (i) R$ 6.4 million is paid on today s date, and (ii) R$ 22.7 million is to be paid after three years, without monetary updating. A further R$ 1.9 million, over the next three years, is conditional on achievement of conditions specified in the contract. João Foltran, the brand s founder and chief designer, will remain involved in the operation of the business as responsible for the jeans product line of the John, John brand, and has joined the Company s stock option plan. The transaction has been approved by the Company s Board of Directors. In accordance with Article 256, 1, of Law 6404/76, the Company is arranging for a specialized company registered with the CVM to be contracted to prepare an appraisal

2 on FCJ, to establish: (i) the value of its stockholders equity, at market prices; and (ii) the amount referred to in sub-clause c, Sub-item II, of Article 256. Based on such appraisal, Company will at a later time inform its shareholders and the market about the need of a shareholders meeting for approval the transaction, as well as the information for the deliberation as per 1 and 2 of article 256. Acquisition rationale This acquisition is in line with the Company s organic growth strategy. Company s experience of growth through opening of new company stores (addition of 51 stores under the Le Lis Blanc brand name since 2008 and 15 stores under the Bo.Bô brand name since 2009), shows that organic growth provides a more favorable ratio between invested capital (fixed and working capital) and EBITDA than that of a potential acquisition, resulting in a better return on invested capital. As a result, the Company has opted to acquire a brand with a smaller operation, but with high potential for organic growth through opening of company stores, a channel that currently provides 90% of the Company s sales. The John, John Denim brand complements the brands currently owned by the Company (Le Lis Blanc and Bo.Bô). The acquisition of John, John Denim in no ways changes the Company s expansion plans for the Le Lis Blanc and Bo.Bô brands, for which the strategy of the Company continues as previously stated to the market. Tive a oportunidade de passar um tempo lá e me interessou muito o modo de vida das meninas e rapazes. A energia de Nova York é única, contagiante. As pessoas saem de suas casas super cedo, vão para a academia, para o trabalho, saem à noite um ritmo alucinante! Isso me inspirou muito. Nossa coleção foi feita para esse tipo de pessoa: que não tem medo de moda, que entende um corte de calça bem feito e adora inovação. Nessa temporada, tratei o jeans de diversas maneiras, mas o que mais me animou foi o tratamento resinado - o jeans fica parecendo couro - uma inovação nesse mercado. Adoro esse tratamento por que o jeans fica com um aspecto sofisticado, apropriado para sair à noite. Para nossa campanha, não resisti e dessa vez decidi produzir tudo em Nova York. Mantendo a consistência com a inspiração da coleção, a John John investiu em um time de ouro, começando pela belíssima Irina Shayk, uma supermodelo russa que mora em Nova York e que absorveu esse estilo de vida que me fascina. Ela é vibrante, irresistível! Irina já fez campanhas da Armani, Guess e Intimissimi, tem muita experiência com jeans, além de muita sensualidade. Perfeita para a nossa marca. Para fotografar a Irina, não poderia escolher qualquer um, uma estrela merecia ser tratada como tal! Quem clicou foi Stewart Shining, que fotografa para a Vogue, Sports Illustrated e Vanity Fair; ele e a Irina já haviam trabalhados juntos, a química profissional no set foi intensa! NYC. w 11 João Foltran. fashion designer Quem assinou a criação artística e me ajudou a por esse time todo foi o Lorenzo Martone. Esta é a segunda temporada em que trabalhamos juntos, Lorenzo dirigiu a campanha de verão 2011 com André Passos e Fernanda Motta, foi um sucesso! Tanto que decidimos que seria interessante juntarmos forças outra vez. E finalmente, o palco onde aconteceu isso tudo: o Standard Hotel. Acho que é o hotel mais icônico de New York downtown. Realmente nos sentimos no topo do mundo. As imagens prometem! Espero que os fãs da marca curtam junto comigo o grande passo que a John John deu ao decidir produzir a campanha de inverno 2011 fora. New York City foi, é, e sempre será a mais cosmopolita do mundo. Irresistível!

8 BACKSTAGE The Standard Hotel NYC LORENZO MARTONE artistic direction For the casting of this season, I ve suggested the beauty Irina Shayk. I think she translates perfectly what girls, John John s fans, want: to be sensuous and sophisticated all at the same time. We have decided to shoot in New York, as the collection has been all inspired by the lifestyle of this girl who travels, and has no fear of fashion! The photographer was Vogue s darling: Stewart Shining. The team did great! The images are really powerful. I am extremely happy with the final result. STEWART SHINING photographer Shooting John John Jeans with Irina that day felt like SUCH a New York experience! We had our supermodel Irina, we were at the MOST chic and fun hotel the Standard, in the TRENDIEST area of NY, the Meatpacking district... I mean sometimes it just comes together and actually DOES feel fun and glamorous, which is how everyone always THINKS it is. Not always. Only with Irina, Lorenzo and Joao!
