As partes resolvem firmar o presente CONTRATO DE INTERMEDIAÇÃO DE OPERAÇÕES NOS MERCADOS ADMINISTRADOS PELA BM&FBOVESPA S.A. - Bolsa de Valores, Mercadorias e Futuros, o qual será regido pelas seguintes cláusulas e condições: The parties have mutually agreed and contracted under the present Brokerage Agreement for Transactions on BM&FBOVESPA S.A. - Securities, Commodities and Futures Exchange Assets Markets, BM&F Segment, governed by the clauses and conditions established below: Cláusula 1. O presente Contrato tem por objeto a realização de operações no recinto e/ou nos sistemas de negociações e de registro da BM&F BOVESPA, nos mercados por esta administrados (doravante denominados genericamente Mercados). 2 Cláusula 2ª - As operações a serem executadas por intermédio da CORRETORA, bem como os direitos e as obrigações delas decorrentes, sujeitam-se: a) às disposições legais e regulamentares aplicáveis editadas pela Comissão de Valores Mobiliários (CVM), pelo Banco Central do Brasil (BACEN), pela Secretaria da Receita Federal (SRF) e pelas demais autoridades competentes; b) aos Estatutos Sociais, ao Regulamento de Operações, ao Código de Ética e aos demais normativos ou documentos expedidos pela BM&F BOVESPA na qualidade de entidade auto-reguladora e auxiliar do Poder Público; c) às Regras e Parâmetros de Atuação da CORRETORA; d) aos usos, práticas e costumes adotados e geralmente aceitos pelo mercado. Cláusula 3ª - As partes reconhecem e aceitam que a BM&F BOVESPA poderá, a qualquer tempo, e no intuito de preservar a integridade do mercado, alterar as regras aplicáveis aos Mercados, inclusive quanto aos níveis de margem de garantia exigidos, sua composição, as formas de cálculo e as normas para movimentação de valores, podendo as novas regras ser de vigência imediata, aplicando-se automaticamente às posições em aberto na data da alteração. Cláusula 4ª - O CLIENTE reconhece e concorda que a CORRETORA é integralmente isenta de responsabilidade, inclusive perante terceiros, por prejuízos sofridos em decorrência de: a) variações de preços inerentes às operações; b) atos culposos ou dolosos praticados por terceiros, desde que não comprovadamente decorrentes de negligencia ou dolo da CORRETORA, c) interrupções nos sistemas de comunicação, problemas oriundos de falhas e/ou intervenções de qualquer prestador de serviços de comunicações ou de outra natureza, e, ainda, falhas na disponibilidade e acesso ao sistema de operações ou em sua rede, desde que não comprovadamente, decorrentes de negligencia ou dolo da CORRETORA, Cláusula 5ª- A CORRETORA manterá, em nome do CLIENTE, conta corrente, não movimentável por cheques, na qual serão lançados débitos e créditos, dentre outros, relativos a: a) resultados das liquidações de todas as operações efetuadas na BM&F BOVESPA; b) ajustes diários; c) margens de garantia em dinheiro; d) resultados das aplicações financeiras das margens de garantia em dinheiro, quando for o caso; e) taxas de administração dos recursos entregues à BM&F BOVESPA; f) corretagens e as taxas de custódia, de liquidação e de registro dos contratos; Section 2 - The operations to be executed by BROKER, for CUSTOMER, as well as the rights and obligations arising thereunder shall be subject to: a) the laws and regulations published by the Securities Commission (CVM), the Central Bank of Brazil (Brazilian Central Bank), the Internal Revenue Service (SRF) and the other competent authorities; b) the Bylaws, the Operating Rules and Code of Ethics and other standards or documents issued by the BM&F BOVESPA as self-regulatory organization and assist the Government; c) Rules and Parameters of BROKER; d) the usages, customs and practices adopted and generally accepted by the market. Section 4 CUSTOMER acknowledges and agrees that the BROKER is fully exonerated, including third parties for losses suffered as a result of: a) price fluctuations inherent in the operations; b) intentional or negligent acts committed by third parties, to the extent BROKER does not act in Gross negligence or wilfull misconduct, c) interruptions in communication systems, problems arising from errors and / or operations of any service provider or otherwise, and also gaps in the availability and access to operating system or your network., to the extent BROKER does not act in Gross negligence or wilfull misconduct, Section 5 - The BROKER shall KEEP, in the CUSTOMER s name, a bank account wherefrom it may debit or credit all amounts related to: a) brokerage fees, custody settlement and contract registration charges; b) daily adjustments; c) security margins, in cash; d) results from investments made with cash security margins; e) management fees of funds transferred to BM&F BOVESPA; f) brokerage and custodian fees, settlement and registration of contracts;

3 g) eventuais retenções de tributos exigíveis na forma da legislação em vigor; e h) demais despesas sensatas decorrentes da sensata execução das operações. Cláusula 6ª - O CLIENTE obriga-se a manter e a suprir a conta corrente supra-referida, observados os prazos razoáveis estabelecidos pela CORRETORA, de modo a atender e a garantir o cumprimento de todas as suas obrigações perante a CORRETORA O CLIENTE reconhece e aceita que a relação de custos, despesas e obrigações constante da Cláusula 5 tem caráter exemplificativo, não abrangendo necessariamente todas as despesas nas quais o CLIENTE poderá incorrer por força das operações decorrentes do presente contrato, uma vez que esses custos sejam relativos aos serviços prestados pela CORRETORA e previsto neste contrato e cujos lançamentos, desde já, autoriza a CORRETORA a promover, mediante comunicação neste sentido. Cláusula 7ª - Por motivos de ordem prudencial, a CORRETORA poderá recusar-se, a seu exclusivo critério, a receber ou a executar, total ou parcialmente, ordens do CLIENTE, podendo, ainda, cancelar aquelas eventualmente pendentes de realização A CORRETORA poderá limitar a quantidade de posições em aberto mantidas em nome do CLIENTE, e mediante aviso ao CLIENTE, encerrá-las, quando ultrapassarem o limite estabelecido, para a ausência de qualquer duvida, o consentimento do CLIENTE não será necessário para que a CORRETORA possa tomar as providencias da clausula 7.1. Cláusula 8ª - A CORRETORA poderá, a seu critério após aviso escrito ao CLIENTE, para a ausência de qualquer duvida, o consentimento do CLIENTE não será necessário para que a CORRETORA possa tomar as providencias da clausula 8: a) aumentar a exigência de margem de garantia, inclusive para as posições já mantidas em nome do CLIENTE; e b) exigir do CLIENTE a antecipação dos ajustes diários referidos na letra "b" da Cláusula 5 supracitada. Cláusula 9ª - A CORRETORA poderá, a qualquer tempo e a seu exclusivo critério, exigir as garantias adicionais que julgar necessárias, bem como determinar a substituição de garantias depositadas, inclusive para posições já registradas e garantidas Imediatamente após o recebimento de aviso, O CLIENTE deverá efetuar o depósito das garantias adicionais e/ou a substituição daquelas depositadas, conforme requerido pela CORRETORA, nos prazos, termos e condições por ela fixados O CLIENTE poderá, por iniciativa própria e com prévia e expressa anuência da CORRETORA, substituir por outras as garantias depositadas Em nenhuma hipótese a CORRETORA estará obrigada a conceder a liberação da garantia antes do integral cumprimento pelo CLIENTE de todas as obrigações que lhe competirem. g) any tax withholding required under legislation in effect, and; h) other reasonable expenses derived from the reasonable xecution of such transactions. 4 Cláusula 10ª - O CLIENTE reconhece e concorda que a insuficiência de saldo na sua conta ou a falta de pagamento dos ajustes diários e das margens requeridas pela BM&FBOVESPA, tempestivamente, autorizará a CORRETORA, mediante aviso ao CLIENTE, independentemente de qualquer autorização, a: a) encerrar, parcial ou totalmente, as posições do CLIENTE; b) utilizar-se dos valores em dinheiro ou créditos que administra e detém em nome do CLIENTE, aplicando-os na amortização ou compensação dos débitos não honrados; c) requerer à BM&F BOVESPA a execução das garantias existentes em nome do CLIENTE; e d) efetuar a venda ou a compra dos contratos necessários à liquidação das posições em aberto em nome do CLIENTE Nos termos desta cláusula, e visando atender às obrigações do CLIENTE das quais seja credora ou garantidora, a CORRETORA poderá, da forma que lhe parecer mais adequada, fazer uso dos ativos e direitos do CLIENTE que estejam em seu poder. Cláusula 11ª - O CLIENTE declara conhecer e aceitar os termos dos Estatutos Sociais, do Regulamento de Operações, do Manual de Procedimentos Operacionais da Câmara de Compensação de Liquidação de Operações de Derivativos da BM&F BOVESPA, do Código de Ética e das demais normas editadas pela BM&F BOVESPA, bem como as especificações das operações e dos contratos negociados no recinto e no sistema de negociações e de registro da BM&F BOVESPA, além das obrigações e riscos associados a tais negócios. Cláusula 12ª - A metodologia para apuração da margem de garantia é baseada em cenários de estresse de preços e encontra-se descrita no Capítulo 17 do Manual de Procedimentos Operacionais da Câmara de Compensação de Liquidação de Operações de Derivativos da BM&F BOVESPA. Conforme descrito nas especificações dos contratos, no item correspondente à margem de garantia, esta poderá ser alterada a qualquer momento, a critério da BM&F BOVESPA, sendo os contratos divididos, para efeito de apuração da margem, nas seguintes categorias: a) ativos líquidos: abrangem os contratos futuros e de opções do tipo conhecido como opções americanas sobre futuros, com exceção dos agropecuários e energéticos; b) ativos ilíquidos: abrangem os contratos a termo de ativos financeiros negociados em pregão e os swaps com garantia; c) demais ativos: abrangem os contratos futuros agropecuários e energéticos, o contrato a termo de ouro, os contratos de opções sobre disponível, os contratos de opções sobre futuro e os contratos de opções flexíveis Para os contratos futuros, de opções sobre disponível e de opções sobre futuro, destacam-se os seguintes riscos atrelados aos respectivos negócios, que o CLIENTE declara conhecer e aceitar: Section 10 - CUSTOMER acknowledges and agrees that the lack of funds sufficient to satisfy CUSTOMER s obligations in CUSTOMER s account or non-payment of daily adjustments and the margins required by the BM&F BOVESPA, in good time, authorize BROKER upon notice to CUSTOMER thereof, regardless of a consent by the CUSTOMER, to: a) terminate, partially or totally, the positions of the CUSTOMER; b) used the amounts of cash or credits that manages and holds on behalf of CUSTOMER, applying them to compensation or repayment of debts not honored; c) request the BM&F BOVESPA the implementation of existing guarantees on behalf of CUSTOMER, and d) make the sale or purchase of contracts necessary for the liquidation of open positions on behalf of CUSTOMER Under this clause, and aiming to meet the obligations of the CUSTOMER, BROKER may, in the manner that seems most appropriate to use the assets and rights BROKER holds on CUSTOMER s behalf. Section 11 - CUSTOMER hereby acknowledges and accepts the terms of the Bylaws of the Rules of Operations Manual of Operating Procedures of the Clearing House Settlement Derivatives BM&F Bovespa, the Code of Ethics and other rules issued by the BM&F BOVESPA and the operations specifications and contracts traded on the floor and the trading system and record the BM&F Bovespa, and the obligations and risks associated with such dealings. Section 12 - The methodology for calculating the margin of security is based on stress scenarios and price is described in the Manual of Operating Procedures of the Clearing House Settlement Derivatives BM&F BOVESPA. 5 a) o valor das posições em aberto é atualizado diariamente,de acordo com os preços de ajuste do dia estabelecidos de acordo com as regras da BM&F BOVESPA. Em ambos os casos, serão requeridos pagamentos de ajustes diários em dinheiro relativos à variação das posições e, a critério da BM&FBOVESPA e/ou da Corretora, de margens adicionais; b) a venda, a preço de mercado, para o cumprimento de obrigações, dos ativos adquiridos em nome do CLIENTE ou por ele entregues em garantia, inclusive as posições e os valores objeto das obrigações nos Mercados; c) a manutenção de posições travadas ou opostas em uma mesma corretora, tanto no mercado de opções como no mercado futuro, conforme as definições contidas no Capítulo 17 do suprareferido Manual de Procedimentos Operacionais, sob certas circunstâncias, não elimina os riscos de mercado de seu carregamento; d) que, atuando como titular no mercado de opções, corre os seguintes riscos: d.1) como titular de uma opção de compra: perder o valor do prêmio pago, ou parte dele, caso o preço de mercado do ativoobjeto da opção não supere seu preço de exercício durante a vigência do contrato; d.2) como titular de uma opção de venda: perder o valor do prêmio pago, ou parte dele, caso o preço de mercado do ativoobjeto da opção supere seu preço de exercício durante a vigência do contrato; e) que, atuando como lançador no mercado de opções, corre o risco de: e.1) na opção de compra: sofrer prejuízos diretamente relacionados à elevação do preço do ativo-objeto da opção no mercado a vista; e.2) na opção de venda: sofrer prejuízos no caso da queda do preço do ativo-objeto da opção no mercado a vista. f) que todas as posições em aberto nos mercados futuros e de opções podem ser liquidadas por diferença, mediante a realização de uma operação de natureza inversa (compra ou venda), como forma de realizar lucros, limitar prejuízos ou evitar exercícios. As condições de liquidez do mercado, no entanto, podem dificultar ou impossibilitar a execução da operação de natureza inversa no prazo pretendido ou, ainda, quando esta estiver vinculada a uma ordem do tipo limitada, a um preço determinado. a) the value of open positions is updated daily, in accordance with the settlement prices of the Day established in accordance with the rules of the BM&FBOVESPA. The conditions of market liquidity, however, may hinder or frustrate the execution of an offsetting transaction within the time desired, or even when it is linked to an item type limited to a certain price.

6 Cláusula 13ª - O CLIENTE, ainda, declara: a) assumir integral responsabilidade pela veracidade dos dados e informações por ele prestados à CORRETORA; b) conhecer e aceitar como válidas e obrigatórias, para reger todas e quaisquer operações por sua conta e ordem realizadas pela CORRETORA junto à BM&F BOVESPA, as disposições contidas nas normas legais e regulamentares mencionadas na cláusula 12 e suas ulteriores alterações, que serão aplicáveis automaticamente; c) estar ciente e aceitar que os investimentos nos Mercados podem ser caracterizados como de risco. Cláusula 14ª - As notas de corretagem emitidas pela CORRETORA ou pela BM&F BOVESPA em nome do CLIENTE garantem a certeza e liquidez dos valores devidos pelo CLIENTE, constituindo-se, em conjunto com este instrumento, em título executivo extrajudicial, nos termos e para os fins do art. 585, inc. II, do Código de Processo Civil. Cláusula 15ª - A constatação pela CORRETORA da incapacidade financeira do CLIENTE, temporária ou permanente, parcial ou total, dar-lhe-á direito a proceder na forma prevista na cláusula 10, mediante prévia notificação ao CLIENTE. Cláusula 16ª - Na hipótese de inadimplemento de qualquer das obrigações ora assumidas pelo CLIENTE, e após o aviso pela CORRETORA e a falha do CLIENTE em resolver a pendencia, o CLIENTEficará sujeito ao pagamento, à CORRETORA, de multa de 2% (dois porcento) sobre o valor total da obrigação descumprida,sendo responsável, além das despesas a que o seu inadimplemento der causa, pelos valores razoáveis e necessários ao cumprimento das obrigações que lhe competirem, sem prejuízo das demais medidas judiciais e/ou extrajudiciais cabíveis e das eventuais penalidades impostas No caso de morte, incapacidade civil, insolvência, deferimento de pedido de concordata, decretação de falência ou dissolução do CLIENTE, a CORRETORA fica autorizada a proceder de acordo com a cláusula 10, sem prejuízo das demais providências eventualmente cabíveis. Cláusula 17ª - Qualquer omissão ou tolerância de uma das partes, em relação a eventuais infrações contratuais cometidas pela outra, não importará em renúncia a tais direitos, tampouco constituirá novação ou modificação das obrigações, podendo, a parte prejudicada, exercê-los plenamente a qualquer tempo. Cláusula 18ª - As partes não poderão ceder ou transferir os direitos e obrigações estabelecidas neste Contrato para terceiros sem a prévia anuência da outra parte. Cláusula 19ª - As partes, desde já, assumem espontaneamente o compromisso, em caráter irrevogável e irretratável, de submeter, de forma definitiva, toda e qualquer divergência ou disputa relacionada ao presente Contrato, ao Juízo Arbitral da BM&F BOVESPA, com funcionamento na Cidade de São Paulo, Estado de São Paulo, nos termos da regulamentação aplicável, para os fins da Lei 9.307/96. Section 15 - If BROKER reasonably determines, CUSTOMER is financial inability, whether such inability is temporarily or permanently, partial or total, BROKER shall be entitled to proceed as provided in Section 10, with prior notification to the CUSTOMER. Section 16 - In the event of default of any obligations undertaken by CUSTOMER hereby and following a notice by BROKER to CUSTOMER and CUSTOMER s failure to cure such default, the CUSTOMER will be subject to payment to the BROKER, a fine of 2% (two percent) of the total value of the obligation in addition to any reasonable expenses to which such breach gives rise, subject to further judicial and/or extrajudicial measures and any penalties imposed In the case of death, legal incapacity, insolvency, deferred a bankruptcy filing, declaration of bankruptcy or dissolution of the CUSTOMER, BROKER is authorized to proceed in accordance with clause 10, without prejudice to any other reasonable measures. Section 17 - The omission or tolerance of a party, in relation to possible contractual violations committed by the other, will not represent a waiver of such rights, nor constitute novation or modification of obligations and may the aggrieved party, to exercise them fully to any time. Section 18 - The parties may not assign or transfer the rights and obligations under this Agreement to any third party without the prior consent of the other party. Section 19 - The parties, now, are voluntarily committed, irrevocably and irreversibly, to submit a definitive, any disagreement or dispute relating to this Agreement, the Arbitration Tribunal of the BM&F Bovespa, which operate in the City of Sao Paulo, Brazil, in accordance with applicable regulations, for the purposes of the Law 9.307/96.

As partes declaram conhecer e aceitar as normas de funcionamento e de instalação do Juízo Arbitral da BM&F BOVESPA emanadas de seus Estatutos Sociais, do respectivo Regulamento e das demais normas editadas pela BM&F BOVESPA Para os fins do disposto no art. 7º, no 2º do art. 13 e no art. 25 da Lei 9.307/96, fica eleito o Foro Central da Capital do Estado de São Paulo, inclusive para execução da sentença arbitral. Cláusula 20ª - O CLIENTE tem ciência e aceita que, ao se cadastrar na CORRETORA, esta ficará autorizada a promover verificações junto aos sistemas de crédito, dentre eles o Serviço de Proteção ao Crédito (Serasa), não representando, tal direito, qualquer obrigação de apuração por parte da CORRETORA. Cláusula 21ª - Este contrato é celebrado em caráter de não exclusividade, tanto em relação à CORRETORA quanto ao CLIENTE. Cláusula 22ª - O presente Contrato vigorará por prazo indeterminado, obrigando as partes, seus herdeiros e/ou sucessores, e poderá ser denunciado por qualquer uma das partes mediante notificação por escrito, com aviso prévio de no mínimo 48 (quarenta e oito) horas Este contrato permanecerá válido e produzindo os seus efeitos até que todas as operações do CLIENTE estejam liquidadas e depois de cumpridas todas as suas obrigações vencidas ou vincendas. Cláusula 23ª - O CLIENTE, por meio deste instrumento, declara expressamente que leu, entendeu e concorda com todas as disposições estabelecidas neste Contrato, autorizando a CORRETORA a adotar as medidas ora previstas, sempre que necessário. Section 20 - CUSTOMER is aware and agrees that, when registering with BROKER, it will be allowed to promote checking with the credit system, among them the Service Credit Protection (SERASA) and not representing, as law, any obligation to determination by the BROKER. Section 21 - This is a contract in a non-exclusive character, both in relation to the BROKER as CUSTOMER. Section 22 - This contract shall remain in force indefinitely, binding upon the parties, their heirs and/or successors, and may be terminated by either party by written notice, notice of at least 48 (forty eight) hours This contract will remain valid and shall be effective until all transactions are settled by the CUSTOMER and after fulfilling all obligations due or overdue. Section 23 - The CUSTOMER hereby expressly declares that it has read, understood and agreed to all the provisions of this contract, authorizing the BROKER to adopt the measures envisaged where necessary. Section 24 - CUSTOMER will pay to BROKER, by the intermediation of transactions by the broker, on behalf of the CUSTOMER and order, the percentages (or in BRL) as follows.
