2 ACORDO DE LONGO PRAZO PARA PRESTAÇÃO DE SERVIÇOS ( LTA ) Nº PARA O PROGRAMA DAS NAÇÕES UNIDAS PARA O DESENVOLVIMENTO (PNUD) O presente Acordo de Longo Prazo para Prestação de Serviços é celebrado entre o Programa das Nações Unidas para o Desenvolvimento, um órgão subsidiário das Nações Unidas, com sede em 1 UN Plaza, New York, NY (doravante denominado PNUD ) e o(a) [companhia, organização, instituto] (doravante denominado(a) Contratado(a) ) com sede no(a) no(a) (endereço completo, incluindo CEP). CONSIDERANDO QUE o PNUD deseja celebrar um Acordo de Longo Prazo para Prestação de Serviços LTA pelo(a) Contratado(a) ao PNUD, de acordo com o qual os escritórios nacionais do PNUD no exterior podem concluir ajustes contratuais específicos com o(a) Contratado(a), conforme previsto neste instrumento; CONSIDERANDO QUE, de acordo com o Processo Licitatório Nacional/Internacional (RFP/ITB) nº xxx/201x, cujo objeto é a contratação de uma empresa para xxxxxxxxxxxxxxxxxxxx, a proposta do(a) Contratado(a) foi aceita; ISSO POSTO, o PNUD e o(a) Contratado(a) (doravante, em conjunto, denominados as Partes ) neste ato concordam como segue: Artigo 1º: ESCOPO DO TRABALHO 1. O(A) Contratado(a) deverá fornecer os tipos de serviços e produtos de sua atividade, os quais encontram-se listados no Anexo 1 deste instrumento ( Serviços/Termos de Referência ), da maneira em que e quando negociado com a sede do PNUD ou com o escritório nacional do PNUD e refletido em um Contrato de Prestação de Serviços Profissionais, na forma do Anexo 2 ao presente instrumento. 2. Serviços serão a preços promocionais, conforme a lista constante do Anexo 3. Os preços permanecerão válidos por um período de 02 (dois) anos a partir da Entrada em Vigor do presente Acordo. 3. O PNUD não garante a aquisição de qualquer quantidade dos Serviços durante a vigência deste Acordo, a qual será de 02 (dois) anos.

3 Artigo 2º: ALTERAÇÕES DE CONDIÇÃO 4. Na hipótese de quaisquer alterações técnicas vantajosas e/ou redução dos preços dos Serviços durante a vigência deste Acordo, o(a) Contratado(a) deverá notificar o PNUD imediatamente. O PNUD deverá considerar o impacto de tal evento e poderá solicitar uma alteração do presente Acordo. Artigo 3º: PRESTAÇÃO DE CONTAS DA CONTRATADA 5. O(A) Contratado(a) deverá prestar contas semestralmente ao PNUD sobre os Serviços prestados ao PNUD, inclusive a seus escritórios nacionais. Artigo 4º: TERMOS E CONDIÇÕES GERAIS E ESPECIAIS 6. As Condições Gerais do PNUD para Contratos de Prestação de Serviços Profissionais padronizadas, conforme constam no Anexo 4, aplicar-se-ão ao presente Acordo e a quaisquer contratos posteriores concluídos em conformidade com o Parágrafo 1 acima. Artigo 5º: ACEITAÇÃO 7. O presente Acordo substitui todos os acordos anteriores, orais ou escritos, se houver, entre as Partes, e constitui o entendimento integral entre as partes com relação à prestação dos Serviços conforme previsto neste instrumento. 8. O presente Acordo passará a vigorar na data da última assinatura dos representantes das Partes, e permanecerá em vigor por um período de dois anos, podendo ser prorrogado por até mais um ano mediante acordo mútuo entre as Partes. As partes concordam, desde já que, em caso de divergência de interpretação quanto aos termos e condições previstos neste Acordo ou em qualquer outro documento que componha o presente Acordo, a versão em inglês prevalecerá. 6 LONG TERM AGREEMENT FOR THE PROVISION OF SERVICES (LTA) No. TO THE UNITED NATIONS DEVELOPMENT PROGRAMME (UNDP) This Long Term Agreement is made between the United Nations Development Programme, a subsidiary organ of the United Nations, having its headquarters at 1 UN Plaza, New York, NY (hereinafter UNDP ) and (hereinafter called Contractor ) with its headquarters at. WHEREAS, UNDP desires to enter into a Long Term Agreement for the provision of services by the Contractor to UNDP, pursuant to which UNDP country offices world-wide can conclude specific contractual arrangements with the Contractor, as provided herein; WHEREAS pursuant to the National/International bidding process (RFP/ITB) No. xxxxx/201x), whose object is the hiring of a company for xxxxxxxxxxxx); the offer of the Contractor was accepted; NOW, THEREFORE, UNDP and the Contractor (hereinafter jointly the Parties) hereby agree as follows: Article 1: SCOPE OF WORK 1. The Contractor shall provide the types of services and deliverables, which are listed in Annex 1 hereto ( Services/Terms of Reference ), as and when negotiated by UNDP headquarters or a UNDP country office and reflected in a Contract for Professional Services, in the form attached hereto as Annex Such Services shall be at the discount prices listed in Annex 3 The prices shall remain in effect for a period of 02 (two) years from Entry into Force of this Agreement. 3. UNDP does not warrant that any quantity of Services will be purchased during the term of this Agreement, which shall be for 02 (two) years. Article 2: CHANGES IN CONDITION 4. In the event of any advantageous technical changes and/or downward pricing of the Services during the duration of this Agreement, the Contractor shall notify UNDP immediately. UNDP shall consider the impact of any such event and may request an amendment to the Agreement.

7 Article 3: CONTRACTOR'S REPORTING 5. The Contractor will report semi-annually to UNDP on the Services provided to UNDP, including its country offices. Article 4: GENERAL AND SPECIAL TERMS AND CONDITIONS 6.The standard UNDP General Conditions for Professional Services, attached as Annex 4, shall apply to this Agreement, and any subsequent contracts concluded in accordance with paragraph 1 above. Article 5: ACCEPTANCE 7.This Agreement supersedes all prior oral or written agreements, if any, between the Parties and constitutes the entire agreement between the parties with respect to the provision of the Services hereunder. 8.This Agreement shall enter into force on the date of the last signature by the representatives of the Parties and shall remain in force for a period of two years, and may be extended for 01 (one) additional year by mutual agreement of the Parties.
