CONSIDERANDO QUE: (i) A Corretora Liquidante e a Corretora Executante são corretoras de mercadorias operantes na Bolsa de Valores,Mercadorias e Futuros S/A - BM&FBOVESPA (a BM&FBOVESPA ), estando aptas a realizar a intermediação de operações nos mercados a vista, a termo, futuro e de opções (as Operações ou, isoladamente, a Operação ), bem como o repasse dessas Operações; (ii) O Cliente é regularmente cadastrado junto à Corretora Executante, que é a responsável por executar as Operações do Cliente no recinto e/ou nos sistemas de negociação da BM&FBOVESPA, e ambos têm seu relacionamento, quanto à intermediação de negócios junto à BM&FBOVESPA, regulado por Contrato de Intermediação de Negócios na BM&FBOVESPA, devidamente assinado por seus representantes legais; CM Versão Abril /

2 (iii) The Client is also registered with the Clearing Broker and their relationship, with regard to settlement and clearance of operations on the BVM&F, is governed by the Agreement for Intermediation of Investment Operations on BM&F BOVESPA, which has been duly signed by their legal representatives; (iv) It is the Client s intent that certain Operations carried out by the Executing Broker on BM&F BOVESPA be transferred to the Clearing Broker through the BM&F BOVESPA Relationship Registration and Operation Transfer System (hereinafter referred to as System ); and (v) The Parties intend to carry out transfers of Operations executed by Executing Broker according to the instructions provided by the Client; Now and therefore, for and in consideration of the foregoing and the terms and conditions herein, the Parties hereto agree to enter into this Agreement for the Transfer of Investment Operations carried out on the Brazilian Futures and Commodities Exchange BM&F BOVESPA (hereinafter referred to as Agreement ) as follows: 1. Upon specific instructions from the Client, the Executing Broker shall transfer to the Clearing Broker certain Operations carried out by the Executing Broker on the floor and/or the trading systems of BM&F BOVESPA. In respect of such transferred Operations, the Clearing Broker shall perform all obligations related to their settlement and clearing Notwithstanding the provisions contained in this Agreement, the transfer of Operations by the Executing Broker to the Clearing Broker and the rights and obligations arising there from will be subject to the BM&F BOVESPA S by-laws, the BVM&F Rules on Operations and any other specific regulations that may apply to this matter. (iii) O Cliente também é regularmente cadastrado junto à Corretora Liquidante e ambos têm seu relacionamento quanto à intermediação de negócios junto à BM&FBOVESPA regulado por Contrato de Intermediação de Negócios na BM&FBOVESPA, devidamente assinado por seus representantes legais; (iv) O Cliente deseja que determinadas Operações executadas pela Corretora Executante junto à BM&FBOVESPA sejam repassadas à Corretora Liquidante por meio do Sistema de Cadastramento de Vínculo e Repasse de Negócios da BM&FBOVESPA (o Sistema ); (v) as Partes pretendem regular o repasse das Operações realizadas pela Corretora Executante à Corretora Liquidante, de acordo com as instruções do Cliente; Tem entre si justo e contratado o presente Contrato de Repasse de Operações na BM&FBOVESPA (o Contrato ), o qual se regerá pelas seguintes cláusulas e condições: 1. A Corretora Executante, mediante instrução específica do Cliente, repassará à Corretora Liquidante determinadas Operações executadas no recinto e/ou nos sistemas de negociação da BM&FBOVESPA pela Corretora Executante. Nesses casos, a Corretora Liquidante efetuará a compensação e liquidação das Operações a ela repassadas Sem prejuízo do disposto no presente Contrato, os repasses das Operações efetuados pela Corretora Executante à Corretora Liquidante e os direitos e obrigações deles decorrentes estarão sujeitos aos Estatutos Sociais, ao Regulamento de Operações da BM&FBOVESPA e às demais normas que de modo específico os regulamentar Any and all amendments to the rules mentioned above shall immediately apply to the instructions given by the Client and Operations mentioned in this Agreement As alterações que vierem a ocorrer na regulamentação retro serão aplicadas imediatamente às ordens e Operações referidas neste Contrato. 2. In relation to the transfer of the Operations, the Executing Broker shall follow the instructions given by the Client and shall record the information related to such transfer in the System. The Clearing Broker shall, in turn, proceed according to the information recorded in the System. 2.1 The Parties hereby agree, consent and acknowledge that the investment orders and communications received by telephone may be recorded by any of the Parties, either with or without a previous warning signal, and that the respective recording tape may be used in any court or jurisdiction as a valid and lawful evidence by any Party. 2. Para o repasse das Operações, a Corretora Executante deverá observar as especificações que lhe forem determinadas pelo Cliente, incluindo no Sistema as informações do repasse das Operações. A Corretora Liquidante, por sua vez, deverá proceder de acordo com o que vier a ser registrado no Sistema. 2.1 As Partes concordam, consentem e reconhecem que eventuais ordens transmitidas e comunicações mantidas por via telefônica poderão ser gravadas por qualquer das Partes, sem sinal de advertência prévio, e que essa fita de gravação poderá ser utilizada, em qualquer instância ou tribunal, como prova válida e lícita por qualquer das Partes. 2

3 2.2. Shall be responsible: the Executing Broker for: - the receipt and recording of the investment orders of the Client pursuant to the applicable regulation, particularly with respect to the registration of the investment order, as well as for indicating that the purpose of the investment order is the transfer of the corresponding Operation; - the execution of an investment order on the floor or trading systems of BM&F BOVESPA; - the registration of the Operations carried out; and - the transfer of the Operations carried out. Clearing Broker for: - the details of the parties to the Operations; - the settlement and clearing of the Operations, as provided for in item 2 above; and - the custody and use of any assets and values. 3.1 The Clearing Broker and the Executing Broker will be responsible for all proven damages and/or losses caused to the each other and/or to the Client as a result of a proven negligence, fault or failure to comply with the obligations hereunder, except for the case set out in item 2 in relation to the Clearing Broker. 3.2 No responsibility may be assigned to the Clearing Broker in respect of acts carried out by the Executing Broker which are not in accordance with the investment orders provided by the Client. 4. The fees to be paid to the Clearing Broker by the Client are those agreed with the Client under the relevant Agreement for Intermediation of Investment Operation on BM&F BOVESPA. The fees to be paid to the Executing Broker by virtue of this Agreement, as well as the date and form of payments are established above. The date and form of payments may only be amended with the prior consent of the Parties Serão responsáveis: a Corretora Executante: - pelo recebimento e registro da ordem do Cliente, observadas as normas aplicáveis, notadamente quanto ao respectivo cadastro, indicando que a ordem destina-se a repasse da Operação correspondente; - pela execução da ordem no recinto ou nos sistemas de negociação da BM&FBOVESPA; - pelo registro da Operação realizada; e - pelo repasse da Operação realizada. a Corretora Liquidante: - pela especificação dos comitentes; - pela compensação e pela liquidação da Operação, observado o disposto no item 2 acima; e - pela custódia e utilização de quaisquer ativos e valores. 3.1 A Corretora Liquidante e a Corretora Executante responsabilizam-se por danos e/ou prejuízos comprovadamente causados uma a outra e/ou ao Cliente, em decorrência de comprovada negligência, imprudência, imperícia ou inexecução de obrigações inerentes ao presente Contrato, ressalvado, para a Corretora Liquidante, a hipótese prevista no item Nenhuma responsabilidade poderá ser atribuída à Corretora Liquidante quanto aos atos praticados pela Corretora Executante em desconformidade com as ordens transmitidas pelo Cliente. 4. As remunerações devidas à Corretora Liquidante serão aquelas acordadas com o Cliente e formalizadas no competente e respectivo Contrato de Intermediação de Negócios na BM&FBOVESPA. As remunerações devidas à Corretora Executante, por força deste Contrato, bem como a periodicidade e a forma de pagamento estão estabelecidos abaixo, podendo ser alterados somente com a prévia concordância das Partes The CLEARING BROKER shall pay the EXECUTING BROKER, as fee for the intermediation of the Agreement, an amount calculated according to table below The amount owed by virtue of the Agreement will be calculated according to the TOB Basic Operational Rate of the Brazilian Stocks, Commodities and Futures Exchange - BVM&F based on the investment operations carried out by the Executing Broker, equivalent to the percentages listed for the following products: 4.1. A CORRETORA LIQUIDANTE pagará à CORRETORA EXECUTANTE, a título de remuneração pela intermediação referente ao Contrato, o valor calculado conforme tabela abaixo: 4.2. The Parties hereby represent that they are aware of the rules applicable to investment operations carried out on BM&F BOVESPA, the relevant by-laws, the Rules of Operations and all other regulations of BM&F BOVESPA, particularly those related to the transfer of Operations, as well as the specifications contained in the contracts negotiated on its floor and the obligations and risks related to the Operations. 6. This instrument is entered into for an indeterminate period of time and is binding upon the Parties and their successors. 7. This Agreement may be terminated at any time by any of the Parties upon a twenty-four (24) hours prior written notice. 8. The Operations carried out until the date of termination of this Agreement shall be subject to the terms and conditions of this Agreement and this Agreement shall remain in full force and effect until all obligations arising here from, assumed until the date of termination, are effectively fulfilled. 9. This Agreement does not constitute and shall not be construed as to be an obligation of exclusivity to any of the Parties. 10. Any doubts and disputes arising out of this Agreement shall be settled by the Arbitration Tribunal of BM&F BOVESPA; the Parties hereby agree to submit themselves to said Tribunal and undertake to consent to its installation whenever requested by any of the Parties or by BM&F BOVESPA itself. 5. As Partes declaram conhecer a regulamentação aplicável às operações realizadas na BM&FBOVESPA, os Estatutos Sociais, o Regulamento de Operações e as demais normas da BM&FBOVESPA, especialmente as referentes ao repasse de Operações, bem como às especificações constantes dos contratos negociados em seus pregões e às obrigações e os riscos associados às Operações. 6. O presente instrumento é celebrado por prazo indeterminado, e obriga as Partes e seus sucessores. 7. A rescisão do presente Contrato, por qualquer das Partes, poderá se dar a qualquer tempo, mediante comunicação escrita com antecedência mínima de 24 (vinte e quatro) horas. 8. As Operações realizadas até a data de rescisão deste Contrato estarão ao abrigo de suas cláusulas e condições, ficando preservada a eficácias do presente Contrato até o efetivo cumprimento de todas as obrigações dele decorrentes, assumidas até a referida data de rescisão. 9. O presente Contrato não constitui e não poderá ser interpretado como obrigação de exclusividade para qualquer das Partes. 10. As eventuais dúvidas e controvérsias oriundas deste Contrato deverão ser dirimidas pelo Juízo Arbitral da BM&FBOVESPA, sendo que as Partes declaram sua submissão ao referido juízo, comprometendo-se a aceitar sua instalação, quando a mesma for requerida por qualquer das Partes ou pela própria BM&FBOVESPA. 4

The assignment of any rights and obligations arising here from by any of the Parties without the prior and express consent from the other Parties is prohibited. 13. This Agreement and its Schedules shall only be amended in writing by means of an amendment duly signed by the Parties. 14. Other specificities and conditions related to the relationship between the Executing Broker and the Client, as well as with respect to the relationship between the Clearing Broker and the Client shall be regulated by a specific agreement to be entered into between the relevant Parties. 15. The Parties hereby elect the courts of the city of São Paulo, State of São Paulo as the competent venue to file any preventive measure, as well as enforce the arbitration award, if necessary The courts elected herein shall also be competent to settle any disputes arising out of this instrument, in case it is not possible, for any reason beyond the Parties control, they cannot resort to the BM&FBOVESPA s Arbitration Tribunal mentioned in item 9 above. 11. É vedada a cessão dos direitos e obrigações advindos deste Contrato por qualquer das Partes, sem a prévia e expressa autorização das demais Partes. 13. O presente Contrato, bem como seus Anexos, somente poderão ser alterados por escrito, por meio de aditamento devidamente assinado pelas Partes. 14. As demais particularidades e procedimentos da relação entre Corretora Executante e Cliente e entre Corretora Liquidante e Cliente deverão ser regulados por contrato próprio firmado entre as referidas Partes. 15. As partes elegem o foro da cidade de São Paulo, Estado de São Paulo, como o competente para a eventual proposição de medidas cautelares, bem como para a execução da sentença arbitral, se necessário for O foro ora eleito também será o competente para dirimir eventuais controvérsias oriundas deste instrumento na hipótese de, por qualquer motivo alheio à vontade das partes, não ser possível recorrer-se ao Juízo Arbitral da BM&FBOVESPA mencionado no item 9 acima. 5
