2 Decision- 451 st Council Meeting Deliberação BM&F - 451ª Sessão This decision establishes the rules of conduct that deal with article 3 of CVM Instruction 387 of 28 April 2003 and the criteria for the creation, by broker firms, of its Rules and Parameters of Operation, which article 6 of this Instruction deals with. Estabelece as regras de conduta de que trata o art. 3º da Instrução CVM nº 387, de 28 de abril de 2003, e os critérios para a elaboração, pelas sociedades corretoras, de suas Regras e Parâmetros de Atuação, de que trata o art. 6 da mesma Instrução.

3 The Council of the Commodities and Futures Exchange (BM&F), in a meeting held on this date, in the use of the powers conferred upon it by section II of article 51 of its Articles of Incorporation, and bearing in mind the provisions of article 3 of CVM Instruction 387 of 28 April 2003, H E R E B Y D E C I D E S : Article 1: Besides observing the applicable legal provisions and the regulations issued by the CVM (Brazilian SEC), the Brazilian Central Bank, the BM&F and by the other competent authorities, each of which in its respective sphere of competence, members of the BM&F (the Members ) must observe the rules of conduct and the criteria for the creation of their Rules and Parameters of Operation established by this decision. Article 2: Bearing in mind the provisions of article 3 of CVM Instruction 387, members should observe, in the conduct of their activities and in the relationship with their clients and with the other market participants, as a minimum, the following rules of conduct: I. Members must act in the best interests of their clients, aiming to uphold the market s integrity and maintaining high ethical standards in trading, training and behavior in their relations with the BM&F, with other members, with their clients and with other market participants; II. Members should present their clients with information on the operation and characteristics of the securities markets, on the place of trading and trading systems or BM&F registration, as well as on the procedures for the execution of orders and the risks involved in the operations carried out; III. Members must make available to their clients, before starting business, the Rules and Parameters of Operation that they have established under the terms of this Decision; IV. The Members should implement norms and procedures for internal controls that offer wide and updated knowledge on the financial knowledge and operational characteristics of their clients; V. Members must establish controls on all types of money and assets received from their clients; VI. Members must maintain the registration and documents relating to the receipt, transmission and execution of orders; VII. Members must supply their clients, in a timely manner, with all the documentation relating to the operations that they have carried out; VIII. Members must not contribute to the distribution or circulation of inaccurate news or information on securities, in the markets administered by the BM&F or on the participants of such markets; IX. Members must not adopt conduct or use procedures that may come to, directly or indirectly, represent fraudulent operations, the creation of false markets, price O Conselho de Administração da Bolsa de Mercadorias & Futuros-BM&F, em Sessão realizada nesta data, no uso das atribuições que lhe confere o inc. II do art. 51 dos Estatutos Sociais, e tendo em vista o disposto no art. 3º da Instrução nº 387, de 28 de abril de 2003, da Comissão de Valores Mobiliários, D E L I B E R A : Art. 1 o Além do cumprimento das disposições legais aplicáveis e da regulamentação expedida pela Comissão de Valores Mobiliários, pelo Banco Central do Brasil, pela BM&F e pelas demais autoridades competentes, cada qual na sua respectiva esfera de competência, os Associados da BM&F ( Associados ) deverão observar as regras de conduta e os critérios de elaboração de suas Regras e Parâmetros de Atuação estabelecidos por esta Deliberação. Art. 2º Tendo em vista o disposto no art. 3 da Instrução CVM n.º 387, os Associados deverão observar, na condução de suas atividades e no relacionamento com seus clientes e com os demais participantes do mercado, no mínimo, as seguintes regras de conduta: I. os Associados devem atuar no melhor interesse de seus clientes, visando manter a integridade do mercado e fazendo prevalecer elevados padrões éticos de negociação, capacitação e comportamento nas suas relações com a BM&F, com os demais Associados, com seus clientes e com outros participantes do mercado; II. os Associados devem apresentar aos seus clientes informações sobre o funcionamento e as características dos mercados de valores mobiliários, sobre o recinto e os sistemas de negociação ou de registro da BM&F, bem como sobre os procedimentos para o cumprimento das ordens e os riscos envolvidos nas operações realizadas; III. os Associados devem colocar à disposição de seus clientes, antes do início de suas operações, as Regras e Parâmetros de Atuação por eles estabelecidos nos termos desta Deliberação; IV. os Associados devem implantar normas e procedimentos de controles internos que proporcionem amplo e atualizado conhecimento sobre a capacitação econômicofinanceira e as características operacionais de seus clientes; V. os Associados devem estabelecer controles dos valores e dos ativos recebidos de seus clientes, a qualquer título; VI. os Associados devem manter os registros e os documentos relativos ao recebimento, transmissão e cumprimento de ordens; VII. os Associados devem fornecer aos seus clientes, em tempo hábil, toda a documentação relativa às operações por eles realizadas; VIII. os Associados não devem contribuir para a veiculação ou circulação de notícias ou de informações imprecisas sobre os valores mobiliários, sobre os mercados administrados pela BM&F ou sobre os participantes de tais mercados; IX. os Associados não devem adotar condutas ou utilizar procedimentos que possam vir a, direta ou indiretamente, configurar operações fraudulentas, criação de

4 manipulation or inequitable prices, as defined in the regulations in effect; X. Members should not carry out operations, on their own behalf or for their clients, that place at risk their own ability to settle them physically or financially; XI. Members must maintain confidentiality on the operations they carry out and on other data and information on their clients, under the terms of the legislation in effect. Article 3: Members must, in establishing their Rules and Parameters of Operation, demonstrate clearly and unequivocally their mode of operation, detailing at least: I. the types or orders, the timetable for the receipt and their valid term; II. the procedures for refusal, registration, issue, execution, distribution and cancellation or orders; and III. the form of meeting orders received and the way of distributing trades made, as well as the criteria used in the event of a conflict of interest and competition. Unnumbered Paragraph: In dealing with cases of a conflict of interest and competition between orders, the Rules and Parameters of Operation referred to in the preamble of this article must establish the procedures necessary to ensure fair and equitable treatment, observing the regulations in effect. Article 4: The Members are responsible for the observance of the provisions within the Rules and Parameters of Operation established under the terms of the previous article. Article 5: The administrators, directors, employees, agents and representatives of all types, of BM&F members, as well as the self-employed agents linked to them, must have a spotless reputation, moral integrity, technical expertise and the necessary specialization to carry out their jobs and have their respective registrations and authorizations by the Securities Commission, when required. Article 6: The representatives of member firms that operate on the trading floor or in the trading systems or registered by the BM&F must act with total decorum, always observing the standards of ethics and conduct compatible with the function they perform. Article 7: Doubts surrounding the interpretation or application of this Decision will be settled by the BM&F s Council. Article 8: This decision will come into effect on the date that comes to be set by the Director General. Art. 3 o Os Associados devem, ao estabelecer suas Regras e Parâmetros de Atuação, demonstrar de forma clara e inequívoca o seu modo de atuação, dispondo, no mínimo, sobre: I. os tipos de ordens, o horário para o seu recebimento e o prazo de validade; II. os procedimentos de recusa, registro, emissão, execução, distribuição e cancelamento de ordens; e III. a forma de atendimento das ordens recebidas e a forma de distribuição dos negócios realizados, assim como os critérios adotados em caso de conflito de interesse e concorrência. Parágrafo único. Ao tratar dos casos de conflito de interesse e de concorrência de ordens, as Regras e Parâmetros de Atuação referidos no caput deste artigo devem estabelecer os procedimentos necessários para assegurar aos clients tratamento justo e eqüitativo, atendida a regulamentação em vigor. Art. 4 o Os Associados são responsáveis pelo cumprimento do disposto nas Regras e Parâmetros de Atuação estabelecidas nos termos do artigo anterior. Art. 5 o Os administradores, diretores, empregados e prepostos, a qualquer título, dos Associados da BM&F, assim como os agentes autônomos a eles vinculados, devem apresentar ilibada reputação, idoneidade moral, capacitação técnica e especialização necessária para o exercício dos cargos e ter seus respectivos registros e autorizações na Comissão de Valores Mobiliários, quando assim for requerido. Art. 6 o Os representantes dos Associados que atuem no recinto ou nos sistemas de negociação ou de registro da BM&F devem manter absoluto decoro, observando, permanentemente, os padrões de ética e conduta compatíveis com a função desempenhada. Art. 7 o As dúvidas acerca da interpretação ou da aplicação desta Deliberação serão dirimidas pelo Conselho de Administração da BM&F. Art. 8 o A presente Deliberação entrará em vigor na data que vier a ser fixada pelo Diretor Geral.
