( Companhia ), em cumprimento ao disposto na Instrução da Comissão de Valores Mobiliários ( CVM ) n 358, de 3 de janeiro de 2002, conforme alterada, e ao artigo 157, 4, da Lei n 6.404, de 15 de dezembro de 1976, conforme alterada, comunica aos seus acionistas e ao mercado em geral que, nesta data, a Companhia e a Popeyes Louisiana Kitchen, Inc. celebraram o Master Franchise and Development Agreement e o Company Franchise Agreement (em conjunto, Contratos ), os quais foram devidamente aprovados pelo Conselho de Administração da Companhia, incluindo o voto afirmativo do conselheiro independente, e com a abstenção do conselheiro Sr. Joshua Arthur Kobza (atual Chief Technology and Development Officer da Restaurant Brands International). Com a assinatura dos Contratos, a Companhia passa a ter o direito exclusivo de desenvolver e operar restaurantes, por meio de operação própria ou franqueados, com a marca POPEYES no Brasil durante um período de 20 anos. Os Contratos estabelecem metas anuais visando a uma aceleração gradual do crescimento de restaurantes próprios e/ou franqueados, dentre as quais destaca-se a abertura de mais de 300 restaurantes no período inicial de 10 anos. Os Contratos também preveem que a Companhia deve ser a prestadora exclusiva de serviços da marca POPEYES no Brasil, provendo serviços de marketing, treinamento, monitoramento, procurement, auditoria, entre outros, para os restaurantes franqueados no Brasil, podendo, para tais fins, cobrar taxa de serviços dos seus franqueados. Além disso, os royalties e contribuição ao fundo de marketing foram estabelecidos em patamares similares aos aplicáveis à marca BURGER KING no Brasil. A rede POPEYES opera mais de locais em mais de 25 países ao redor do mundo, contemplando os Estados Unidos e o Canadá, ocupando a posição de segunda maior rede de fastfood focado em frango no mundo. O menu POPEYES consiste em seus famosos frangos e ofertas que apresentam a diversidade da cozinha do estado da Louisiana, incluindo opções de frutos do mar, sanduiches, acompanhamentos tradicionais com tempero cajun, creole e sobremesas. O consumo de frango no Brasil tem crescido e já é maior do que qualquer outra proteína no país, incluindo carne bovina e suína. Tal fato reforça o posicionamento diferenciado que o POPEYES oferece com uma oportunidade única para atrair novos consumidores. Por fim, a Companhia comunica que as informações exigidas nos termos do Anexo 30-XXXIII da Instrução da CVM n 480, de 7 de dezembro de 2009, conforme alterada, em relação à celebração dos Contratos estão descritas no Anexo I a este Fato Relevante. 4 CNPJ/MF n / NIRE Companhia Aberta ANEXO I Transações entre Partes Relacionadas Em cumprimento ao artigo 30, inciso XXXIII, da Instrução da Comissão de Valores Mobiliários ( CVM ) n 480, de 7 de dezembro de 2009, conforme alterada ( Instrução CVM 480 ), o BK Brasil Operação e Assessoria a Restaurantes S.A. ( Companhia ) comunica aos seus acionistas e ao mercado em geral as informações exigidas nos termos do Anexo 30-XXXIII da Instrução CVM 480, em relação à celebração, em 20 de março de 2018, do Master Franchise and Development Agreement e do Company Franchise Agreement (em conjunto, Contratos ) entre a Companhia e a Popeyes Louisiana Kitchen, Inc. ( Popeyes ). 1 DESCRIÇÃO DA TRANSAÇÃO As partes e sua relação com o emissor As partes envolvidas são a Companhia e a Popeyes. O acionista indireto da Companhia, Restaurant Brands International Inc., detém os direitos de marca da POPEYES. O objeto e os principais termos e condições Nos termos dos Contratos, a Companhia passa a ter o direito exclusivo de desenvolver e operar restaurantes com a marca POPEYES no Brasil, por meio de restaurantes com operação própria ou pelo desenvolvimento de franqueados, durante um período de 20 anos, prevendo metas anuais de abertura de restaurantes ( Transação ). Os Contratos preveem, ainda, que a Companhia será prestadora exclusiva de serviços da marca POPEYES no Brasil, devendo prover serviços de marketing, treinamento, monitoramento, procurement, auditoria, entre outros, para os restaurantes franqueados no Brasil, podendo, para tais fins cobrar taxa de serviços dos seus franqueados. 2 PARTICIPAÇÃO DA CONTRAPARTE, SEUS SÓCIOS OU ADMINISTRADORES NA TRANSAÇÃO No processo de decisão do emissor acerca da transação A Popeyes, seus acionistas e administradores não participaram da decisão da Companhia acerca da Transação e da celebração dos Contratos. A tomada de decisão da Companhia deu-se de maneira independente, tendo sido analisada e aprovada pelo seu Conselho de Administração, incluindo voto afirmativo de seu conselheiro independente e abstenção do conselheiro Sr. Joshua Arthur Kobza, o qual não realizou qualquer ponderação acerca da Transação durante a sua aprovação pelo Conselho de Administração da Companhia. No processo de negociação da transação como representantes do emissor A Popeyes, seus acionistas e administradores não participaram da negociação da Transação como representantes da Companhia. Ademais, cumpre ressaltar que tanto a

5 Companhia quanto a Popeyes contaram com seus próprios assessores estratégicos e legais no Brasil e nos Estados Unidos, conforme se fez necessário. 3 JUSTIFICATIVA PORMENORIZADA DAS RAZÕES PELAS QUAIS A ADMINISTRAÇÃO DO EMISSOR CONSIDERA QUE A TRANSAÇÃO OBSERVOU CONDIÇÕES COMUTATIVAS OU PREVÊ PAGAMENTO COMPENSATÓRIO ADEQUADO Se o emissor solicitou propostas, realizou algum procedimento de tomada de preços, ou tentou de qualquer outra forma realizar a transação com terceiros A Companhia realizou uma análise detalhada dos termos e condições da Transação, inclusive por meio da contratação de estudos independentes, os quais demonstraram a adequação dos termos negociais da Transação e o atendimento ao melhor interesse de ambas as partes. Não foram solicitadas propostas ou realizados procedimentos de tomada de preço, pois as contraprestações recebidas pela Companhia na Transação somente poderiam ter sido ofertadas pela Popeyes, tendo em vista ser ela a proprietária da marca POPEYES a ser licenciada à Companhia. As razões que levaram o emissor a realizar a transação com a parte relacionada e não com terceiros Considerando que a POPEYES é a segunda maior rede de fast-food focado em frango no mundo e tendo em vista que o consumo de frango no Brasil tem crescido e já é maior do que qualquer outra proteína no país, a Companhia teve interesse em realizar a Transação com a Popeyes para aproveitar o posicionamento diferenciado da marca e atrair novos consumidores, em linha com a sua estratégia de longo prazo em busca do crescimento da Companhia e maximização de valor aos seus acionistas. (c) A descrição pormenorizada das medidas tomadas e procedimentos adotados para garantir a comutatividade da operação As partes adotaram todos os procedimentos e realizaram todas as análises para assegurar o atendimento aos seus melhores interesses na Transação, de acordo com os procedimentos internos adotados pela Companhia na celebração em negociações com terceiros. Adicionalmente, as condições comerciais negociadas entre ambas as partes são similares às existentes na relação entre a Companhia e a marca BURGER KING, assim como condições conhecidas de mercado.

( Company ), in compliance with Instruction 3258 issued by the Securities and Exchange Commission of Brazil ( CVM ) on January 3, 2002, as amended, and with Article 157, Paragraph 4 of Federal Law 6,404, of December 15, 1976, as amended, hereby announces to its shareholders and the market that, on the date hereof, the Company and Popeyes Louisiana Kitchen, Inc. entered into a Master Franchise and Development Agreement and a Company Franchise Agreement (collectively the Agreements ), which were duly approved by the Board of Directors of the Company, including by its independent member, with Mr. Joshua Arthur Kobza (currently Chief Technology and Development Officer of Restaurant Brands International) abstaining from voting. With the execution of the Agreements, the Company acquires the exclusive right to develop, open and operate restaurants, through owned or franchised operations, under the brand POPEYES in Brazil for a period of 20 years. The Agreements establish annual targets with a view to gradually accelerate the growth in owned and/or franchised restaurants, which include opening over 300 restaurants in the first 10 years. The Agreements also establish that the Company will be the exclusive service provider of the brand POPEYES in Brazil, offering marketing, training, monitoring, procurement, audit and other services to the franchised restaurants in Brazil, for which the Company may charge a service fee from its franchisees. Furthermore, the royalties and contribution to the marketing fund were established at levels similar to those applicable to the BURGER KING brand in Brazil. The POPEYES chain operates more than 2,800 restaurants in over 25 countries worldwide, including the United States and Canada, and is the world s second-largest quick-service chicken restaurant chain. The POPEYES menu features its famous fried chicken and a variety of Louisiana-style options, including seafood, sandwiches, signature sides with cajun and creole seasoning and desserts. Chicken consumption in Brazil has been growing and is already consumed more than any other protein in the country, including beef and pork. This reinforces the distinctive positioning that POPEYES offers as a unique opportunity to attract new consumers. Lastly, the Company informs that the information required in accordance with Appendix 30 XXXIII of CVM Instruction 480, of December 7, 2009, as amended, with regard to the Agreements is described in Appendix I to this Material Fact notice. ( Company ) hereby provides its shareholders and the market with the information required under Appendix 30-XXXIII of CVM Instruction 480 regarding the execution, on March 20, 2018, of the Master Franchise and Development Agreement and the Company Franchise Agreement (jointly the Agreements ) between the Company and Popeyes Louisiana Kitchen, Inc. ( Popeyes ). 1 DESCRIPTION OF THE TRANSACTION The parties and their relationship with the issuer The parties involved are the Company and Popeyes. The Company s indirect shareholder Restaurant Brands International Inc. holds the POPEYES brand rights. The object and main terms and conditions As per the Agreements, the Company will have the exclusive right to develop, open and operate restaurants under the POPEYES brand in Brazil, through owned restaurants or those operated by franchisees, for 20 years, with annual targets for restaurant openings ( Transaction ). The Agreements also establish that the Company will be the exclusive service provider for the POPEYES brand in Brazil, providing marketing, training, monitoring, procurement, audit and other services to franchisees in Brazil, for which it may charge its franchisees a service fee. 2 PARTICIPATION OF THE COUNTERPARTY, ITS PARTNERS OR MANAGERS IN THE TRANSACTION In the decision-making process of the issuer regarding the transaction Popeyes, its shareholders and managers did not participate in the Company s decision regarding the Transaction and the signing of Agreements. The Company s decision was taken independently, and was analyzed and approved by its Board of Directors, including the approval from its independent member and abstention from voting by the director Mr. Joshua Arthur Kobza, who did not make any comment on the Transaction during its approval by the Board of Directors of the Company. In the process of negotiating the transaction as representatives of the issuer Popeyes, its shareholders and managers did not participate in negotiating the Transaction as representatives of the Company. Furthermore, it must be highlighted that both the

10 Company and Popeyes hired their own strategic and legal advisors in Brazil and the United States, as necessary. 3 DETAILED JUSTIFICATION OF THE REASONS WHY THE MANAGEMENT OF THE ISSUER BELIEVES THE TRANSACTION WAS CARRIED OUT ON ARM S LENGTH BASIS OR INVOLVES ADEQUATE COMPENSATORY PAYMENT If the issuer requested proposals, did it conduct any pricing procedure or tried in any way to conduct the transaction with third parties The Company conducted a detailed analysis of the terms and conditions of the Transaction, including by contracting independent studies, which showed that the terms of the Transaction were adequate and served the best interests of the Parties. No proposals or pricing procedures were conducted, as the object of the Agreements received by the Company in the Transaction could only have been offered by Popeyes since it owns the POPEYES brand to be licensed to the Company. The reasons why the issuer conducted the transaction with a related party and not with third parties Since POPEYES is the second largest chicken-based fast-food chain in the world, and considering that chicken consumption in Brazil has grown and is already higher than that of any other protein in the country, the Company was interested in carrying out the Transaction with Popeyes to capitalize on its unique brand positioning and attract new consumers, in line with its long-term strategy in pursuit of the Company s growth and maximization of value for its shareholders. (c) Detailed description of the measures taken and procedures adopted to ensure that the operation was carried out at an arm s length basis The parties adopted all the procedures and conducted all the studies to ensure that the Transaction was in their best interest, according to the internal procedures adopted by the Company to carry out negotiations with third parties. Moreover, the commercial conditions negotiated between the parties are similar to those between the Company and the BURGER KING brand as well as to market conditions.
