2 THIS CONTRACT IS MADE BETWEEN: The Municipality of Lisbon, Portugal, represented by Mr. Fernando Medina Maciel de Almeida Correia, Mayor of the Municipality of Lisbon, (the Borrower ) of the first part, and The European Investment Bank having its seat at 100 boulevard Konrad Adenauer, L-2950 Luxembourg, Luxembourg, represented by the [ ], [ ] and [ ], [ ], (the Bank or the EIB ) of the second part.

3 3 WHEREAS: (1) On 24 September 2016, a finance contract was entered into following an agreement between the Borrower and the Bank (the Contract ) pursuant to which the Bank agreed to provide financing to the Borrower for a maximum amount of EUR 100,000,000 (one hundred million euros) under the terms and conditions set forth under the Contract (the Credit ); (2) Taking into consideration the legal nature of the Borrower, the latter would have to submit the Contract to the national Court of Auditors (Tribunal de Contas) for prior approval (visto prévio); (3) As a result, the Contract should only enter into force on the date of receipt by the Bank of evidence that the required prior approval had been issued from the national Court of Auditors; (4) In the context of the Contract s prior approval, the Borrower requested that the Credit made available in the Contract was reduced to EUR 51,000,000 (fifty one million euros) as per the Borrower s legal annual indebtedness limit for 2017; (5) Therefore, should the Borrower elect to request the disbursement of the first Tranche under the Contract without presenting Allocation Requests, the amount which can be requested under such first Tranche shall not exceed in aggregate a maximum amount of EUR 15,300,000 (fifteen million three hundred thousand euros), representing 30% (thirty per cent) of the Credit; (6) In the context of the Contract s prior approval, the Borrower further requested the inclusion in the Contract of the envisaged schemes for allocation corresponding up to the aggregated amount of the reduced Credit; (7) A list of such schemes has been provided to the Bank, notwithstanding the Borrower s acknowledgment that the allocation of the schemes forming part of the drainage system of Lisbon is considered a single major Scheme (cost above EUR 50 million) of the Project under the Contract and, consequently, is subject to an individual appraisal and approval by the Bank; (8) The Borrower and the Bank have agreed to amend the Contract for the purpose of the requests set out above, as set forth under the terms and conditions of this amendment to the Contract (the Amendment ).

4 4 NOW THEREFORE it is hereby agreed as follows: ARTICLE 1 Interpretations and definitions 1.01 Interpretation In this Amendment: (i) (ii) (iii) References to Articles, Recitals and Schedules are, save if explicitly stipulated otherwise, references respectively to articles of, and recitals and schedules to the Contract. References to capitalized terms are, save if explicitly stipulated otherwise, references to such terms as they are defined under the Contract. References to a provision of law are references to that provision as amended or reenacted. (iv) References to any other agreement or instrument are references to that other agreement or instrument as amended, novated, supplemented, extended or restated Definitions In this Amendment: Amendment means this amendment to the Contract. Contract means the finance contract executed between the Borrower and the Bank on 24 September Effective date means the date in which the Borrower and the Bank have executed this Amendment, without prejudice to the entry of the Contract. ARTICLE 2 Amendment to the Contract 2.01 Amendment to Article 1.01 of the Contract With effect as of the Effective Date, Article 1.01 of the Contract ( Amount of Credit ) shall be amended so that it shall be read and construed as follows: «By this Contract the Bank establishes in favour of the Borrower, and the Borrower accepts, a credit in an amount of up to EUR 51,000,000 (fifty one million euros) for the financing of the Project (the Credit ), as part of the Total Approved Credit.» 2.02 Amendment to Article 1.04A of the Contract With effect as of the Effective Date, Article 1.04A of the Contract ( First Tranche ) shall be amended so that it shall be read and construed as follows: «The disbursement of the first Tranche under Article 1.02 is conditional upon receipt by the Bank, in form and substance satisfactory to it, of the following documents or evidence: (a) before the date falling 5 (five) Business Days before the Scheduled Disbursement Date, evidence that the execution of this Contract by the Borrower has been duly authorised and that the person or persons signing the Contract on behalf of the Borrower is/are duly authorised to do so together with the specimen signature of each such person or persons;

5 5 (b) (c) before the date falling 5 (five) Business Days before the Scheduled Disbursement Date, evidence that the Borrower has obtained or will obtain, when required, all necessary Authorisations, required in connection with this Contract and the Project; and on or before the date falling 5 (five) Business Days before the Scheduled Disbursement Date, evidence that the Borrower has appointed a project coordinator for the Project (the Project Coordinator ) which is fully operational and responsible for the Allocation Requests and related procedures as well as regular progress reporting and monitoring of the Project as required pursuant to the Contract and the Bank. If the Borrower elects to request the disbursement of the first Tranche under Article 1.02 without presenting Allocation Requests, the amount which can be requested under such first Tranche shall not exceed in aggregate a maximum amount of EUR 15,300,000 (fifteen million three hundred thousand euros), representing 30% (thirty per cent) of the Credit. In case a prior loan agreement has been entered into between the Bank and the Borrower under the Total Approved Credit, any amount granted under such other loan agreement must be fully disbursed prior to the disbursement of the first Tranche of the Credit under this Contract.» 2.03 Amendment to Article of the Contract With effect as of the Effective Date, Article of the Contract ( Recitals and Schedules ) shall be amended so that it shall be read and construed as follows: «The Recitals and following Schedules form part of this Contract: Schedule A Schedule B Schedule C Schedule D Schedule E Schedule F Schedule G Project Specification and Reporting Definition of EURIBOR Forms for the Borrower Interest Rate Revision and Conversion Amortization Tables Indicative Schemes Indicative list of schemes for the 2017 proposed allocation» 2.04 Inclusion allocations for 2017 With effect as of the Effective Date and subject to Recital 7 of this Amendment, an indicative list of schemes to be proposed for allocation in 2017 shall be included in the Contract as Schedule G Indicative list of schemes for the 2017 proposed allocation, as per the Annex to this Amendment. ARTICLE 3 Governing law This Amendment and any non-contractual obligations arising out of or in connection with it shall be governed by the laws of Luxembourg. ARTICLE 4 Recitals and Annex
