Compreensão dos meios de financiamento disponíveis no mercado português, das vantagens /desvantagens associadas a cada um, dos custos associados, e dos critérios que nos podem levar a escolher um ou outro. Conhecimento da legislação vigente e da jurisprudência dominante. Domínio da resolução de questões práticas e das divergências doutrinais e suas implicações. LEARNING OUTCOMES OF THE CURRICULAR UNIT This course aims to enable students to: 1. Establish contact with the capital structure of a company. Presentation of the different kinds of financing available, its advantages and disadvantages, costs and criteria to choose of them. 2. Legal rules and most important court decisions knowledge. 3 análise de jurisprudência; Algumas matérias serão estudadas de forma exclusiva a partir do estudo do discente e sua apresentação em aula, tanto na vertente de gestão como na de Direito. DEMONSTRATION OF THE SYLLABUS COHERENCE WITH THE CURRICULAR UNIT'S OBJECTIVES The course contents have been adequately aligned to fulfill its stated objectives. Under the proposed program, students are gradually introduced to the subtitles. This theoretical approach allows students to develop a creative awareness of the company law. In particular, the assigned readings will include written expositions, court decisions and hypothetical problems that the students will be expected to analyze and discuss in class. Students will be expected to make an oral presentation, in group, and to submit it in a written form, later in both perspectives (business and legal) MÉTODO DE ENSINO E DE AVALIAÇÃO O curso recorrerá a um estilo híbrido de palestra/seminário. Serão providenciadas listas de leituras para cada aula, encorajando-se os alunos a lerem atempadamente os materiais disponibilizados e a assumirem um papel activo na sala de aula. Os alunos serão integrados em grupos de trabalho e apresentarão uma exposição oral e/ou escrita sobre um tema a definir, tanto na vertente de gestão como na de Direito, podendo os docentes dispensar a versão escrita, se assim o entenderem. Avaliação: a) Exame de 3h (60%) b) Intervenção nas aulas (10%) e apresentação de trabalho (30%) TEACHING METHODOLOGIES (INCLUDING EVALUATION) The course is delivered in a mixture of lecturing and seminar style. Reading lists will be provided for each class and students will be encouraged to read the available materials in due time in order to take an active role in the classroom. Students will be expected to prepare an oral presentation, in class, prepared in a group of students, and submitted in a written form (latter), as part of the grade, in both perspectives (business and legal). Professors can allow students not to submit the written form, according to they will. Assessment: a) 3-hour written examination (60% of total mark) b) Thoughtful participation in class discussion (10%) and group presentations, in oral and in written (30% of total mark). The instructor will consider participation in class discussion and assign points for thoughtful comments and discussion. 3

4 DEMONSTRAÇÃO DE COERÊNCIA ENTRE O MÉTODO DE ENSINO COM OS OBJETIVOS DE APRENDIZAGEM DA DISCIPLINA Em relação a alguns pontos do programa, prevalece a componente teórica do ensino, desfrutando os estudantes de algumas aulas magistrais sobre os temas em causa, visando introduzir as temáticas, problematizar e deixar pistas de reflexão e de leitura. Nos demais pontos do programa, trata-se de assegurar que os estudantes se «familiarizem com a estrutura de capitais e meios de financiamento das sociedades. Para além de momentos de exposição teórica, os estudantes são convidados a tomar contacto com a principal legislação na matéria e a recorrer a métodos de análise de índole matemática. Os estudantes são desafiados a, no quadro da avaliação contínua, realizar e apresentar trabalhos de análise, a título exemplificativo, de diversos institutos ou regimes, e a desenvolver a técnica de aplicação das regras gerais ao caso concreto, através da resolução de casos práticos (hipotéticos ou reais) ou análise de jurisprudência. DEMONSTRATION OF THE COHERENCE BETWEEN THE TEACHING METHODOLOGIES AND THE LEARNING OUTCOMES The course is delivered in a mixture of lecturing and seminar style. In relation to some items of the syllabus, the instructor will give preference to a lecturing style. In relation to other items, the instructor wants to assure that students will be familiarized with the structure and sources of raising capital and funds. To achieve that goal, students will be asked to deal with legislation and the use of graphic design and mathematical solutions. Students will be expected to prepare an oral presentation, in class, prepared in a group of students, and submitted in written form (latter), in both perspectives (business and legal). Further, in order to ensure the adequate fulfilment of the course stated aims, comprehensive reading materials are provided. Reading lists are provided for each class, students being encouraged to read ahead and, then, take an active role in the classroom. The course materials are available at the course s site.
